1. Represents shares withheld to cover a tax liability in connection with the vesting and settlement of the restricted stock units described herein.

2. Each restricted stock unit represents the right to receive one share of the Company's common stock.

3. The remaining restricted stock unit 548 vests on September 1, 2024. Earlier lapse of forfeiture events set forth in the Company's severance plans apply to this award.
