Explanation of Responses:

1. Subject to the Reporting Person's continued service to the Issuer, 17,167 of such RSUs vest as follows: 1/3 will vest on the day prior to the Company's 2021 Annual Meeting of Stockholders, and 1/3 will vest on each of May 6, 2023 and May 6, 2024.

2. Subject to the Reporting Person's continued service to the Issuer, 17,167 of such RSUs vest as follows: 100% on the day prior to the Company's Annual Meeting of Stockholders.

3. Includes 5,735,000 founder shares of Common Stock (of which 750,000 shares were forfeited) as previously reported in the Form 3 filed by the Reporting Person on May 5, 2020 and the Form 4 filed by the Reporting Person on June 29, 2020.
