Explanation of Responses:

1. Grant of restricted stock units under the Company's 2011 Stock Incentive Plan; the units vest 25% on each anniversary of the grant date provided that the individual's employment with the Corporation or its Affiliate (as defined in the 2011 Plan) is continuous from the date of grant through each of the vesting dates.

Remarks:

This form is being amended to increase by 388 the number of shares granted; a computation error was discovered subsequent to the reporting date of 01/06/2021
