Explanation of Responses:

1. The transaction reported represents the withholding of shares by the issuer to satisfy the reporting person's tax withholding obligations in connection with the vesting of restricted stock units. No shares were sold.

2. Includes shares of common stock underlying unvested restricted stock units. Effective as of 12:01 a.m. Eastern Time on January 26, 2023, the issuer effected a reverse split of its outstanding shares of common stock at a ratio of 1-for-12.
