Explanation of Responses:

1. Consists of shares of the Issuer's common stock issuable under 120,000 restricted stock units ("RSUs"). Each RSU represents the right to receive one share of the Issuer's common stock upon vesting. The RSUs are scheduled to vest with respect to 40% of the shares on January 26, 2024, and with respect to the remainder on January 26, 2025.

2. Includes 120,000 unvested RSUs. Each unvested RSU represents the right to receive one share of the Issuer's common stock upon vesting.

3. The option was granted on January 26, 2023. The shares underlying the option are scheduled to vest with respect to 40% of the shares on January 26, 2024, and with respect to the remainder on January 26, 2025.
