2. On December 11, 2020, the Common Stock of CSU split 1-for-15, resulting in a reduction in the number of shares of Common Stock beneficially owned by the Reporting Person.

3. Includes all shares of CSU Common Stock and Restricted Stock Units beneficially owned by the Reporting Person, including 19,947 Restricted Stock Units (or 1,329 Restricted Stock Units when adjusted for the reverse stock split referred to above in footnote 1) previously reported on Table II.
