Explanation of Responses:

1. The price reported represents the weighted average sale price of shares of Series C common stock sold in multiple transactions at prices ranging from $29.60 to $29.76 per share. The reporting person will provide to the Issuer, any security holder of the Issuer, or the SEC staff, upon request, information regarding the number of shares sold at each price within the range.

2. The reporting person is the sole trustee of, and with his spouse, retains a unitrust interest in the trust.

3. The price reported represents the weighted average sale price of shares of Series C common stock sold in multiple transactions at prices ranging from $29.24 to $29.78 per share. The reporting person will provide to the Issuer, any security holder of the Issuer, or the SEC staff, upon request, information regarding the number of shares sold at each price within the range.

4. The reporting person disclaims beneficial ownership of the shares owned by his spouse.

5. On March 8, 2021 and March 9, 2021, the reporting person transferred 3,357,063 shares and 3,308,875 shares, respectively, to the Malone Discovery 2021 CRT of which he is the sole trustee.

Remarks:

The trading symbols for the Issuer's Series A, Series B and Series C common stock are, respectively, DISCA, DISCB and DISCK.
