Explanation of Responses:

1. Pursuant to the terms of the Subscription Agreement and the Second Amended and Restated Subscription Agreement and Letter Agreement between the Reporting Person and the Issuer (the "Agreements"), the Reporting Person transferred all of the common stock and private warrants it acquired in connection with the Issuer's initial public offering to permitted transferees with no consideration in compliance with the Agreements.
