Explanation of Responses:

1. Represents a grant, approved by the issuer's Board of Directors, of restricted stock to the reporting person, in connection with his appointment as the issuer's Chief Accounting Officer on February 1, 2022.

2. On February 23, 2023, the issuer effectuated a 1-for-15 reverse split of the issuer's common stock. This amount represents the number of shares granted to the reporting person on a post-split basis.

3. Represents the number of shares beneficially owned by the reporting person after giving effect to this transaction, on a post-split basis (see footnote 2).

4. Represents a grant, approved by the issuer's Board of Directors, of restricted stock to the reporting person, in connection with his appointment as the issuer's Chief Financial Officer on December 28, 2022.

5. This amount represents the number of shares granted to the reporting person on a post-split basis (see footnote 2). The award was fully vested at grant.

6. Represents a grant, approved by the issuer's Board of Directors, of restricted stock to the reporting person, in consideration of the reporting person's services as Chief Financial Officer.

7. The grant vests monthly with respect to one-twelfth of the award, beginning on the date of grant.

Remarks:

The reporting person was appointed as the issuer's Chief Accounting Officer on February 1, 2022, and as the issuer's Chief Financial Officer on December 28, 2022.
