Explanation of Responses:

1. Represents a restricted stock unit ("RSU") award granted to the Reporting Person pursuant to the Issuer's non-employee director compensation policy. The RSU vests in full on the date of the next annual meeting of the Issuer's stockholders following the grant date (or the date immediately preceding the date of the annual meeting if the Reporting Person's service as a director ends at such annual meeting as a result of the director's failure to be re-elected or the director not standing for re-election), subject to the Reporting Person's service as a director with the Issuer on such date.

2. The Reporting Person voluntarily forfeited 3,373 RSUs, as previously reported on a Form 4 filed on April 14, 2021, after they were granted and the Reporting Person never received any economic benefit.
