1. Each Restricted Stock Unit ("RSU") represents a contingent right to receive one share of the Issuer's common stock pursuant to the Maxar Technologies Inc. 2019 Incentive Award Plan. The RSUs were granted as part of the non-employee director's annual compensation and vest in full on January 3, 2024.

2. Granted by the Issuer for no consideration.
