1. Represents a grant of restricted stock units ("RSUs") awarded to the Reporting Person. The RSUs are scheduled to vest as follows: 917 of the RSUs will vest on November 10, 2022; 918 of the RSUs will vest on November 10, 2023; and 918 of the RSUs will vest on November 10, 2024, subject to the terms, conditions and restrictions of the award agreement governing the grant.
