1. Restricted Stock Unit ("RSU") award granted on February 3, 2023. Each RSU represents a contingent right to receive one share of the Issuer's common stock once vested. The entire award vests and becomes non-forfeitable on February 3, 2024, or, if earlier, the date of the next annual meeting of stockholders of the Issuer following February 3, 2023.
