Explanation of Responses:

1. Represents shares withheld by the Issuer in connection with the reporting person's net share settlement to satisfy tax liability based upon the vesting of 31,191 restricted stock units ("RSUs") granted to the reporting person on September 13, 2021. The reporting person sold no shares to satisfy this tax liability.

2. Includes RSUs granted to the reporting person on September 13, 2021, 311,916 of which remain unvested as of the date hereof. The RSUs vest quarterly in 12 equal installments over three years, with an initial vesting date of October 1, 2021.

SEC Form 4: Mitchell Garth covered exercise/tax liability with 13,537 shares, decreasing direct ownership by 3% to 496,118 units
