Explanation of Responses:

1. On February 9, 2022, the issuer's board of directors granted to the reporting person 9,072 shares of restricted common stock pursuant to the Restricted Stock Award Agreement dated February 9, 2022 between the issuer and the reporting person and pursuant to the HeartCore Enterprises, Inc. 2021 Equity Incentive Plan. The grant vests with respect to 2,268 shares on each of February 9, 2023, February 9, 2024, February 9, 2025 and February 9, 2026.
