1. Represents 50,000 restricted shares of common stock vesting immediately as per the IGC Board of Directors Agreement with Mr. Moran.

2. Represents 100,000 restricted shares of IGC common stock subject to vesting over two years in equal parts starting 2023, as per the RSU Agreement with Director Moran.
