1. Represents restricted stock units (RSUs) issued pursuant to SeaChange International Inc.'s Second Amended and Restated 2011 Compensation and Incentive Plan. The shares subject to the RSU award shall vest on the earlier to occur of (i) July 8, 2022, (ii) the date of the SeaChange International, Inc.'s 2022 Annual Meeting of Stockholders or (iii) a change in control of SeaChange International, Inc.
