Explanation of Responses:

1. Represents the exempt acquisition of 21,951 restricted stock units that in general will vest in total on June 30, 2023, subject generally to the Reporting Person's continued service on the Issuer's Board of Directors.

2. Award of a nonqualified stock option. The option vests one-third on the one-year anniversary date from the date of grant, and the remainder vests on a quarterly basis over years two and three.
