Explanation of Responses:

1. Each restricted stock unit ("RSU") represents a contingent right to receive one (1) share of Issuer's common stock.

2. 100% of the RSUs vest on the earlier of the one year anniversary of June 16, 2021 or on the date immediately prior to the 2022 annual meeting of stockholders.

3. 100% of the RSUs vest on the earlier of the one year anniversary of June 17, 2022 or on the date immediately prior to the 2023 annual meeting of stockholders.

SEC Form 4: Norden Gregory converted options into 3,890 shares, increasing direct ownership by 52% to 11,300 units
