Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one share of the Company's common stock.

2. The reporting person received an award of 46,377 restricted stock units on June 10, 2022. The restricted stock units will vest in full on the one-year anniversary of the grant date. Vested shares will be delivered to the reporting person within 30 days after the earlier of (i) the termination of the reporting person's service to the Company and (ii) a change in control of the Company.
