Explanation of Responses:

1. Represents restricted shares of Class A common stock of American Finance Trust, Inc. (the "Registrant") issued pursuant to the 2018 Omnibus Incentive Compensation Plan of the Registrant. The restricted shares will vest in full on April 9, 2021, the effective date of the reporting person's resignation as the Registrant's chief financial officer, treasurer and secretary, subject to her continued service as the Registrant's chief financial officer, treasurer and secretary through that date.
