Explanation of Responses:

1. The Class B Ordinary Shares of the Issuer will automatically convert into Class A Ordinary Shares of the Issuer at the time of the Issuer's initial business combination and have no expiration date.

2. On January 7, 2021, there was a sub-division of the Class B Ordinary Shares of the Issuer on a 1.2-for-1 basis, resulting in the reporting person's ownership of 1,122,000 additional Class B Ordinary Shares.
