Explanation of Responses:

1. The shares of Common Stock are directly held by The Radoff Family Foundation (the "Radoff Foundation"). Mr. Radoff is a director of the Radoff Foundation and may be deemed to beneficially own the shares of Common Stock held by the Radoff Foundation. Mr. Radoff disclaims beneficial ownership of such shares except to the extent of his pecuniary interest therein.

2. The price reported in column 4 is a weighted average price. These shares were purchased in multiple transaction prices ranging from $2.91 to $2.9155 inclusive. The reporting person hereby undertakes to provide upon request to the SEC staff, the issuer or a security holder of the issuer full information regarding the number of shares and prices at which the transactions were effected.
