Explanation of Responses:

1. Represents 16,062 deferred stock units. Each deferred stock unit represents a contingent right to receive one share of common stock. The deferred stock units will vest on the earlier of (i) the day immediately preceding the 2022 Annual Meeting of Stockholders and (ii) June 10, 2022 and, pursuant to an election made by the Reporting Person, will settle in full 90 days after the Reporting Person ceases to serve on the Company's Board of Directors.

2. The shares reported herein are held by DTR LLC. The Reporting Person indirectly controls DTR LLC and therefore may be deemed to hold voting and dispositive power with respect to these shares. The Reporting Person disclaims beneficial ownership of the shares held by DTR LLC except to the extent of his pecuniary interest therein, if any.
