Explanation of Responses:

1. Represents a grant of restricted stock units, which vest in full on March 3, 2023, provided the Reporting Person is employed by the Issuer on such date. Each restricted stock unit represents a contingent right to receive one ordinary share of the Issuer. The grant was made in connection with Mr. Kollender's appointment to the position of President and Chief Financial Officer.
