Explanation of Responses:

1. Each share of the issuer's common stock was disposed of pursuant to the Agreement and Plan of Merger between the issuer and Nicolet Bankshares, Inc. ("Nicolet") in exchange for either 0.48 shares of Nicolet common stock or $37.18 in cash. Each share of Nicolet common stock had a closing market value of $74.19 per share on the effective date of the merger.

2. This option was canceled in the merger in exchange for a cash payment of $15.73, representing the difference between the exercise price of the option and the product of the volume weighted average closing price of Nicolet common stock over the 20 trading day period immediately preceding the second trading day prior to December 3rd (equal to $73.84 per share) multiplied by the exchange ratio of 0.48.

3. This option was canceled in the merger in exchange for a cash payment of $17.14, representing the difference between the exercise price of the option and the product of the volume weighted average closing price of Nicolet common stock over the 20 trading day period immediately preceding the second trading day prior to December 3rd (equal to $73.84 per share) multiplied by the exchange ratio of 0.48.
