1. These shares of Class A common stock reflect the settlement of Restricted Stock Units of the Issuer on June 2, 2022. Each Restricted Stock Unit is convertible into a share of Class A common stock on a 1-for-1 basis.

2. The reporting person has an indirect pecuniary interest in shares of Class A Common Stock of the issuer through its membership of Acamar Partners Sponsor I LLC, over which the reporting person does not have voting or dispositive control.

3. Each Restricted Stock Unit represents a contingent right to receive one share of Class A Common Stock.

4. These Restricted Stock Units vest on the earlier of (i) the day immediately preceding the date of the first annual meeting of stockholders following the date of grant and (ii) the first anniversary of the date of grant.
