Explanation of Responses:

1. The reporting person received a restricted stock award subject to a four-year vesting schedule, vesting 25% on January 1, 2023, 25% on January 1, 2024, 25% on January 1, 2025, and 25% on January 1, 2026. Upon vesting, the reporting person will receive a number of shares of common stock equal to the number of restricted stock shares that have vested.
