Explanation of Responses:

1. The late filing was due to administrative oversight by the Company that was not the fault of the reporting person.

2. Includes 7,350 shares of restricted stock ("RSA") under the Company's 2022 Employee Equity Compensation Restricted Stock Plan, which stock restrictions will lapse pro rata in one-third increments on each of the first, second and third anniversaries of July 28, 2022, subject to forfeiture in the event of termination of employment (except as provided in the RSA agreement). Ms. Smith retains voting rights over all the shares subject to forfeiture while in escrow.
