Explanation of Responses:

1. Represents an award of restricted stock under the issuer's 2017 Stock Incentive Plan. The award in the amount of 33,393 shares generally vests annually over approximately four years if certain performance goals are achieved in fiscal years 2022, 2023, 2024, and 2025 with the first possible vesting date being January 31, 2023.
