Explanation of Responses:

1. Consists of 5,896 stock units. Each stock unit represents the right, subject to vesting, to receive one share of common stock. The stock units vest in full on the earliest to occur of the following: (a) the first anniversary of the grant date; (b) the date immediately preceding the date of the first annual meeting of Verso Corporation's stockholders that occurs immediately following the Grant Date; or (c) the date on which a Change in Control (as defined) occurs.

2. Consists of: (i) the 5,896 stock units described in footnote (1); and (ii) 9,915.42 vested stock units that will become deliverable after the first to occur of (a) the date on which the Reporting Person ceases to provide services to Verso Corporation, or (b) the date on which a Change in Control (as defined) occurs.
