Explanation of Responses:

1. On September 15, 2021, a total of 7,160 shares were sold by the Company at a weighted average sales price of $1.62 in order to satisfy the reporting person's tax withholding obligations. The reporting person had no discretion with respect to such sale, which was conducted automatically in accordance with the issuer's corporate policies.
