Explanation of Responses:

1. Represents shares underlying restricted stock units ("RSUs"). The RSUs will vest in four equal quarterly installments, with the first quarterly installment vesting on May 15, 2022, in each case subject to the Reporting Person's continued service through the applicable vesting date. None of the RSUs will accelerate pursuant to the Issuer's Change of Control Policy for Officers or the Reporting Person's participation agreement thereunder.

2. Shares held of record by JPW Advisory, Inc., for which the Reporting Person serves as the sole officer and director.

3. Shares held of record by Dorset Investment Partners, Ltd., a family limited partnership of which the Reporting Person and his spouse are general partners. The Reporting Person disclaims beneficial ownership of all shares held by the family limited partnership, except to the extent of his pecuniary interest therein.
