1. Each restricted stock unit represents a contingent right to receive one share of common stock.

2. The restricted stock units vests as to 1/3 of the underlying shares on the first anniversary of the vesting commencement date and as to 1/8th of the remainder of the underlying shares quarterly thereafter. The vesting commencement date is December 29, 2020.
