Explanation of Responses:

1. The reported transaction is an award of restricted stock units in respect of the issuer's common stock. Subject to the reporting person's continued employment with the issuer through the applicable vesting date, these restricted stock units are scheduled to vest in equal installments on each of January 1, 2024, January 1, 2025, and January 1, 2026, and settle within 30 days of the applicable vesting date.

2. The amount of these securities includes an aggregate of 29,417 unvested restricted stock units and earned performance share units that are not yet settled, in each case, in respect of the issuer's common stock.
