1. Represents restricted stock units that are scheduled to vest in full on the earlier of one year after the date of grant or the date of the next year's annual meeting of stockholders, and will be settled in shares of Class A common stock on a one-for-one basis.

2. Mr. White is a member of Legacy Acquisition Sponsor I LLC and serves as a director of the issuer and may be deemed to have beneficial ownership of such shares of Class A common stock; however, Mr. White disclaims beneficial ownership of such shares except to the extent of his pecuniary interest therein.
