1. These shares represent RSUs and will be settled in the Issuer's Class A common stock upon vesting. These RSUs vest in full in 12 equal quarterly installments beginning on September 22, 2022, subject to the Reporting Person's continuous service with the Issuer through each such applicable vesting date.
