Pursuant to this prospectus, the selling securityholders identified herein (the “Selling Securityholders”) are offering on a resale basis an aggregate of 2,097,011 shares of our common stock, par value $0.0001 per share (“Common Stock”).

The foregoing 2,097,011 shares of Common Stock offered for resale hereby were acquired by the Selling Securityholders in a private placement transactions completed between 2019 and 2023.

We will not receive any of the proceeds from the sale by the Selling Securityholders of the common stock.

Our shares are currently traded on The Nasdaq Capital Market under the symbol “NXPL”. On June 1, 2026, the closing price for our shares on The Nasdaq Capital Market was $6.64 per share.
