We are offering $1,150,000,000 aggregate principal amount of our fixed rate notes due 2027 (the “2027 fixed rate notes”), $1,000,000,000 aggregate principal amount of our fixed rate notes due 2030 (the “2030 fixed rate notes”), $650,000,000 aggregate principal amount of our fixed rate notes due 2032 (the “2032 fixed rate notes”) and $700,000,000 aggregate principal amount of our fixed rate notes due 2035 (the “reopened 2035 fixed rate notes”). We refer to the 2027 fixed rate notes, the 2030 fixed rate notes, the 2032 fixed rate notes and the reopened 2035 fixed rate notes as the “notes.”
The 2027 fixed rate notes will mature on July 30, 2027, the 2030 fixed rate notes will mature on February 1, 2030, and the 2032 fixed rate notes will mature on February 1, 2032. We will pay interest on the 2027 fixed rate notes semiannually in arrears on January 30 and July 30 of each year starting on January 30, 2025. We will pay interest on the 2030 fixed rate notes and 2032 fixed rate notes semiannually in arrears on February 1 and August 1 of each year starting on February 1, 2025. The 2027 fixed rate notes will bear interest at the rate of 4.650% per annum, the 2030 fixed rate notes will bear interest at the rate of 4.700% per annum and the 2032 fixed rate notes will bear interest at the rate of 4.750% per annum. The reopened 2035 fixed rate notes have identical terms (other than the issue date and issue price) as, and are a part of a single series with, the $750,000,000 principal amount of our 5.000% senior notes due 2035, issued on March 1, 2024 (the “original 2035 fixed rate notes”). The reopened 2035 fixed rate notes will bear interest at the rate of 5.000% per annum. Interest on the reopened 2035 fixed rate notes is payable semi-annually on March 1 and September 1 of each year starting on September 1, 2024. The reopened 2035 fixed rate notes will mature on March 1, 2035.
We may redeem any series of the notes at any time and from time to time at our option, either in whole or in part, at the applicable redemption price described under “Description of the Notes—Optional Redemption.”
The notes will be our senior unsecured and unsubordinated obligations and will rank equally among themselves and with all of our existing and future senior unsecured debt and senior to all of our subordinated debt.
The notes will not be listed on any securities exchange. Currently, there is no public market for any series of the notes.

In the event of our bankruptcy, liquidation, reorganization or other winding up, assets that secure debt will be available to pay obligations on the notes only after all debt secured by those assets has been repaid in full. Holders of the notes will participate in our remaining assets ratably with all of our unsecured and unsubordinated creditors, including our trade creditors.
If we incur any additional obligations that rank equally with the notes, including trade payables, the holders of those obligations will be entitled to share ratably with the holders of the notes in any proceeds distributed upon our insolvency, liquidation, reorganization, dissolution or other winding up. This may have the effect of reducing the amount of proceeds paid to you. If there are not sufficient assets remaining to pay all these creditors, all or a portion of the notes then outstanding would remain unpaid.
Negative covenants in the Indenture will have a limited effect.
The Indenture governing the notes contains negative covenants that apply to us; however, the limitation on mortgages and limitation on sale and leaseback covenants contain exceptions that will allow us to create, grant or incur liens or security interests with respect to our headquarters and certain other material facilities. See “Description of Debt Securities—Covenants” in the accompanying prospectus. In light of these exceptions, holders of the notes may be structurally or contractually subordinated to new lenders.
Changes in our credit ratings may adversely affect the value of the notes.
We expect that the notes will be rated by one or more nationally recognized statistical rating organizations. Such ratings are not recommendations to buy, sell or hold the notes, are limited in scope, and do not address all material risks relating to an investment in the notes, but rather reflect only the view of each rating agency at the time the rating is issued. We are offering $1,150,000,000 aggregate principal amount of our 2027 fixed rate notes, $1,000,000,000 aggregate principal amount of our 2030 fixed rate notes, $650,000,000 aggregate principal amount of our 2032 fixed rate notes and $700,000,000 aggregate principal amount of our reopened 2035 fixed rate notes.
Each series of the notes will be issued as separate series under the Indenture. The 2027 fixed rate notes will mature on July 30, 2027, the 2030 fixed rate notes will mature on February 1, 2030, the 2032 fixed rate notes will mature on February 1, 2032 and the reopened 2035 fixed rate notes will mature on March 1, 2035.
The reopened 2035 fixed rate notes offered by this prospectus supplement have the same terms as the original 2035 fixed rate notes, other than the issue date and the issue price. The reopened 2035 fixed rate notes form a part of the same series as the original 2035 fixed rate notes and will be issued under the Indenture as described below. Interest
The 2027 fixed rate notes, the 2030 fixed rate notes and the 2032 fixed rate notes will bear interest from August 1, 2024. The reopened 2035 fixed rate notes will bear interest from March 1, 2024.
The 2027 fixed rate notes will bear interest at a fixed rate of 4.650% per annum, the 2030 fixed rate notes will bear interest at a fixed rate of 4.700% per annum, the 2032 fixed rate notes will bear interest at a fixed rate of 4.750% per annum and the reopened 2035 fixed rate notes will bear interest at a fixed rate of 5.000% per annum. Interest on the 2027 notes, the 2030 notes and the 2032 notes will accrue from August 1, 2024, and interest on the reopened 2035 fixed rate notes will accrue from March 1, 2024, or, with respect to all notes, from the most recent interest payment date to which interest has been paid or provided for, to but excluding the relevant interest payment date. We will make interest payments on the 2027 fixed rate notes semiannually in arrears on January 30 and July 30 of each year, beginning on January 30, 2025, to the person in whose name such notes are registered at the close of business on the immediately preceding January 15 or July 15, as applicable. On or after the 2027 Par Call Date, with respect to the 2027 fixed rate notes, the 2030 Par Call Date, with respect to the 2030 fixed rate notes, the 2032 Par Call Date, with respect to the 2032 fixed rate notes and the 2035 Par Call Date, with respect to the reopened 2035 fixed rate notes, we may redeem such notes of the applicable series, in whole or in part, at any time and from time to time, at a redemption price equal to 100% of the principal amount of the notes of such series being redeemed plus accrued and unpaid interest thereon to the redemption date.

Any redemption may, at our discretion, be subject to one or more conditions precedent, which will be set forth in the related notice of redemption, including, but not limited to, completion of an offering or financing or other transaction or event. In addition, if such redemption is subject to satisfaction of one or more conditions precedent, such notice will describe each such condition, and if applicable, will state that, in our discretion, the redemption date may be delayed until such time (provided, however, that any redemption date will not be more than 60 days after the date of the notice of redemption) as any or all such conditions will be satisfied, or such redemption may not occur and such notice may be rescinded in the event that any or all such conditions will not have been satisfied by the redemption date, or by the redemption date as so delayed. If any such condition precedent has not been satisfied, we will provide written notice to the trustee prior to the close of business one business day prior to the redemption date. Upon receipt of such notice, the notice of redemption will be rescinded or delayed, and the redemption of the notes will be rescinded or delayed as provided in such notice. Upon receipt, the trustee will provide such notice to each holder in the same manner in which the notice of redemption was given.
The notes called for redemption become due on the date fixed for redemption. Notices of redemption will be mailed by first-class mail or sent by electronic transmission at least 10 days but not more than 60 days before the redemption date to each holder of the applicable series of notes to be redeemed at its registered address. The notice of redemption for the notes will state, among other things, the amount and CUSIP number of the note to be redeemed. Unless we default in payment of the redemption price, on and after the date of redemption, interest will cease to accrue on any notes that are redeemed. If less than all the notes are redeemed at any time, the trustee will select notes by lot or on a pro rata basis or by any other method the trustee deems fair and appropriate in accordance with the applicable procedures of DTC.
“Business Day” means each Monday, Tuesday, Wednesday, Thursday and Friday that is not a day on which banking institutions in the place of payment are authorized or obligated by law to close.
“Treasury Rate” means, with respect to any redemption date, the yield determined by us in accordance with the following two paragraphs.
The Treasury Rate shall be determined by us after 4:15 p.m., New York City time (or after such time as yields on U.S. government securities are posted daily by the Board of Governors of the Federal Reserve System), on the third business day preceding the redemption date based upon the yield or yields for the most recent day that appear after such time on such day in the most recent statistical release published by the Board of Governors of the Federal Reserve System designated as “Selected Interest Rates (Daily) - H.15” (or any successor designation or publication) (“H.15”) under the caption “U.S. government securities–Treasury constant maturities–Nominal” (or any successor caption or heading) (“H.15 TCM”). In determining the Treasury Rate, we shall select, as applicable: (1) the yield for the Treasury constant maturity on H.15 exactly equal to the period from the redemption date to the applicable Par Call Date (the “Remaining Life”); or (2) if there is no such Treasury constant maturity on H.15 exactly equal to the Remaining Life, the two yields – one yield corresponding to the Treasury constant maturity on H.15 immediately shorter than and one yield corresponding to the Treasury constant maturity on H.15 immediately longer than the Remaining Life – and shall interpolate to the applicable Par Call Date on a straight-line basis (using the actual number of days) using such yields and rounding the result to three decimal places; or (3) if there is no such Treasury constant maturity on H.15 shorter than or longer than the Remaining Life, the yield for the single Treasury constant maturity on H.15 closest to the Remaining Life. For purposes of this paragraph, the applicable Treasury constant maturity or maturities on H.15 shall be deemed to have a maturity date equal to the relevant number of months or years, as applicable, of such Treasury constant maturity from the redemption date.
If on the third business day preceding the redemption date H.15 TCM is no longer published, we shall calculate the Treasury Rate based on the rate per annum equal to the semi-annual equivalent yield to maturity at 11:00 a.m., New York City time, on the second business day preceding such redemption date of the United States Treasury security maturing on, or with a maturity that is closest to the applicable Par Call Date. If there is no United States Treasury security maturing on such Par Call Date, but there are two or more United States Treasury securities with a maturity date equally distant from such Par Call Date, one with a maturity date preceding such

Par Call Date and one with a maturity date following such Par Call Date, we shall select the United States Treasury security with a maturity date preceding such Par Call Date. If there are two or more United States Treasury securities maturing on such Par Call Date for such series of notes or two or more United States Treasury securities meeting the criteria of the preceding sentence, we shall select from among these two or more United States Treasury securities the United States Treasury security that is trading closest to par based upon the average of the bid and asked prices for such United States Treasury securities at 11:00 a.m., New York City time. In determining the Treasury Rate in accordance with the terms of this paragraph, the semi-annual yield to maturity of the applicable United States Treasury security shall be based upon the average of the bid and asked prices (expressed as a percentage of principal amount) at 11:00 a.m., New York City time, of such United States Treasury security, and rounded to three decimal places.
Our actions and determinations in determining the redemption price shall be conclusive and binding for all purposes, absent manifest error.
No notes of a principal amount of $2,000 or less will be redeemed in part. If any note is to be redeemed in part only, the notice of redemption that relates to the note will state the portion of the principal amount of the note to be redeemed. A new note of any series in a principal amount equal to the unredeemed portion of the note will be issued in the name of the holder of the note upon surrender for cancellation of the original note. For so long as the notes of a series are held by DTC (or another depositary), the redemption of the notes of such series shall be done in accordance with the policies and procedures of the depositary.
Except as set forth above, the notes will not be redeemable by us prior to maturity and will not be entitled to the benefit of any sinking fund.
Further Issues
We may from time to time, without notice to or the consent of the registered holders of a series of notes, create and issue further debt securities of any such series ranking equally with the notes of the corresponding series and having the same terms in all respects (other than the issue date, the payment of interest accruing prior to the issue date of such further notes or except for the first payment of interest following the issue date of such further notes); provided that such additional debt securities of any series shall not be issued with the same CUSIP number as the notes of their corresponding series unless such additional debt securities are issued in a “qualified reopening” of the original series, are otherwise treated as part of the same “issue” of debt instruments as the original series or are issued with less than a de minimis amount of original issue discount, in each case for U.S. federal income tax purposes. The following is a summary of the material United States (“U.S.”) federal income tax considerations that may be relevant to a holder of a note. This summary is based on provisions of the Internal Revenue Code of 1986, as amended (the “Code”), applicable U.S. Department of the Treasury regulations, laws, rulings and decisions (“U.S. Treasury Regulations”) now in effect, all of which are subject to change, possibly with retroactive effect. This summary deals only with beneficial owners of notes that will hold notes as capital assets and acquired notes, in the case of the 2027 fixed rate notes, the 2030 fixed rate notes and the 2032 fixed rate notes, upon original issuance at their original issue price, which, for a series of notes will equal the first price at which a substantial amount of the notes of that series is sold for money to the public (not including bond houses, brokers or similar persons or organizations acting in the capacity of underwriters, placement agents or wholesalers), and in the case of the reopened 2035 fixed rate notes, in this offering at the offering price listed on the first page of this prospectus supplement. As used herein, a “U.S. holder” is a beneficial owner of a note that is a citizen or resident of the United States or a U.S. domestic corporation or that otherwise will be subject to U.S. federal income taxation on a net income basis in respect of the note. A “Non-U.S. holder” is a beneficial owner of a note that is an individual, corporation, estate or trust and is not a U.S. holder.
This discussion does not address non-U.S. holders that hold their notes in connection with a U.S. trade or business. Such non-U.S. holders should consult their tax advisers regarding the consequences of purchasing, owning and disposing of the notes.
U.S. Holders
Qualified Reopening. For U.S. federal income tax purposes, the reopened 2035 fixed rate notes offered hereby are expected to be treated as issued in a “qualified reopening” of the original 2035 fixed rate notes which were issued without original issue discount. Debt instruments issued in such a qualified reopening are deemed to be part of the same issue as the original debt instruments. Under the treatment described in this paragraph, the reopened 2035 fixed rate notes will have the same issue date, the same issue price and the same adjusted issue price as the original 2035 fixed rate notes for U.S. federal income tax purposes. This discussion assumes that the reopened 2035 fixed rate notes offered hereby are issued in a qualified reopening.
Pre-Reopening Accrued Interest. The initial offering price for the reopened 2035 fixed rate notes will include amounts attributable to interest accrued from March 1, 2024, which we call “pre-reopening accrued interest.” Pre-reopening accrued interest will be included in the accrued interest to be paid on the reopened 2035 fixed rate notes on the first interest payment date after the issuance of the reopened 2035 fixed rate notes. In accordance with applicable U.S. Treasury regulations, for U.S. federal income tax purposes, we will treat the reopened 2035 fixed rate notes as having been issued for a price that does not include any pre-reopening accrued interest. We intend to treat the portion of the first stated interest payment equal to the pre-reopening accrued interest as a nontaxable return of such pre-reopening accrued interest and, accordingly, it generally will not be includable in income. Pre-reopening accrued interest so treated and not included in income should not form part of any amortizable bond premium, as discussed below under “Premium.” U.S. holders should consult their tax advisers regarding the tax treatment of pre-reopening accrued interest.

Payments of Interest. Subject, in the case of the reopened 2035 fixed rate notes, to the discussion above regarding pre-reopening accrued interest, and the discussion below regarding premium, payments of stated interest will be taxable to a U.S. holder as ordinary interest income at the time it accrues or is actually or constructively received, in accordance with the holder’s method of accounting for U.S. federal income tax purposes. It is expected, and this discussion assumes, that the newly issued notes will be issued without original issue discount (“OID”). In general, however, if such notes are issued with OID at or above a de minimis threshold, a U.S. holder of such notes will be required to include OID in gross income, as ordinary income, under a “constant-yield method” before the receipt of cash attributable to such income, regardless of the U.S. holder’s regular method of accounting for U.S. federal income tax purposes.
Premium. A U.S. holder that purchases the reopened 2035 fixed rate notes offered hereby at a cost (excluding any amount attributable to pre-reopening accrued interest) greater than the principal amount of those notes will be considered to have purchased those notes at a premium, and generally may elect to amortize the premium (as an offset to interest income), using a constant yield method, over the remaining term of those notes. However, because we may redeem the reopened 2035 fixed rate notes prior to maturity at a premium, special rules apply that may reduce, eliminate or defer the amount of premium that a U.S. holder may amortize with respect to those notes. If a U.S. holder makes the election to amortize premium, it generally will apply to all taxable debt instruments that the U.S. holder holds during the taxable year for which the election is made, as well as any taxable debt instruments that such U.S. holder subsequently acquire. In addition, a U.S. holder may not revoke the election without the consent of the Internal Revenue Service (the “IRS”). U.S. holders that elect to amortize the premium will be required to reduce their tax basis in the reopened 2035 fixed rate notes by the amount of the premium amortized during their holding period. For U.S. holders that do not elect to amortize premium, the amount of premium will be included in their tax basis in the reopened 2035 fixed rate notes. Therefore, if a U.S. holder does not elect to amortize premium and holds the reopened 2035 fixed rate notes to maturity, such U.S. holder generally will be required to treat the premium as capital loss when those notes mature.
Sale, Exchange and Retirement of Notes. Upon the sale, exchange or retirement of a note, a U.S. holder generally will recognize gain or loss equal to the difference between the amount realized on the sale, exchange or retirement (less any accrued interest, which will be taxable as such) and the U.S. holder’s adjusted tax basis in such note.
A U.S. holder’s adjusted tax basis in a note should generally equal the cost of the note to such holder (in the case of the reopened 2035 fixed rate notes, excluding any amount attributable to pre-reopening accrued interest and reduced by any amortizable bond premium previously amortized). Gain or loss recognized by a U.S. holder generally will be long-term capital gain or loss if the U.S. holder has held the note for more than one year at the time of disposition. Long-term capital gains recognized by a non-corporate U.S. holder generally are subject to tax at a lower rate than short-term capital gains or ordinary income. The deduction of capital losses is subject to limitations.
Non-U.S. Holders
Payments of Interest. Sale, Exchange and Retirement of Notes. Subject to the discussion below under “Information Reporting and Backup Withholding,” a Non-U.S. holder generally will not be subject to U.S. federal income tax on gain recognized on a sale, exchange or retirement of any note.
FATCA. Under the U.S. tax rules known as the Foreign Account Tax Compliance Act (“FATCA”), a holder of notes will generally be subject to a 30% U.S. withholding tax on interest payments on the notes if the holder is not FATCA compliant, or holds its notes through a foreign financial institution that is not FATCA compliant. If any taxes are required to be deducted or withheld from any payments in respect of the notes as a result of a beneficial owner or intermediary’s failure to comply with the foregoing rules, no additional amounts will be paid on the notes as a result of the deduction or withholding of such tax.
Documentation that holders provide in order to be treated as FATCA compliant may be reported to the IRS and other tax authorities, including information about a holder’s identity, its FATCA status, and if applicable, its direct and indirect U.S. owners. Information Reporting and Backup Withholding
Information returns will be filed with the IRS in connection with payments on the notes made to, and the proceeds of dispositions of notes effected by, certain U.S. holders. Commissions and Discounts
The underwriters have advised us that they propose initially to offer the notes to the public for cash at the public offering prices set forth on the cover of this prospectus supplement, and to certain dealers at such prices less concessions not in excess of 0.150% of the principal amount of the 2027 fixed rate notes, less concessions not in excess of 0.200% of the principal amount of the 2030 fixed rate notes, less concessions not in excess of 0.250% of the principal amount of the 2032 fixed rate notes and less concessions not in excess of 0.250% of the principal amount of the reopened 2035 fixed rate notes. The underwriters may allow, and such dealers may reallow, a concession not in excess of 0.100% of the principal amount of the 2027 fixed rate notes, not in excess of 0.150% of the principal amount of the 2030 fixed rate notes, not in excess of 0.150% of the principal amount of the 2032 fixed rate notes and not in excess of 0.200% of the principal amount of the reopened 2035 fixed rate notes. We estimate that our share of the total expenses of the offering, excluding underwriting discounts, will be approximately $7 million.

Each series of the notes is a new issue of securities with no established trading market. The notes of all series will not be listed on any securities exchange or on any automated dealer quotation system. Price Stabilization and Penalty Bids

Consolidation, Merger and Sale of Assets. The indenture provides that we may not consolidate with or merge into any other person or sell our assets substantially as an entirety, unless:
• | the person formed by such consolidation or into which we are merged or the person which acquires our assets is a person organized in the United States of America and expressly assumes the due and punctual payment of the principal of and interest on all the debt securities and the performance of every covenant of the indenture on our part; |
• | immediately after giving effect to such transaction, no event of default, and no event which, after notice or lapse of time, or both, would become an event of default, shall have happened and be continuing; and |
• | we have delivered to the trustee an officers’ certificate and an opinion of counsel each stating that such consolidation or transfer and a supplemental indenture, if applicable, comply with the indenture and that all conditions precedent herein provided for relating to such transaction have been complied with. |

Upon such consolidation, merger or sale, the successor corporation formed by such consolidation or into which we are merged or to which such sale is made will succeed to, and be substituted for, us under the indenture, and the predecessor corporation shall be released from all obligations and covenants under the indenture and the debt securities.
The indenture does not restrict, or require us to redeem or permit holders to cause redemption of debt securities in the event of:
• | a consolidation, merger, sale of assets or other similar transaction that may adversely affect our creditworthiness or the successor or combined entity; |
• | a change in control of us; or |
• | a highly leveraged transaction involving us whether or not involving a change in control. |
Accordingly, the holders of debt securities would not have protection in the event of a highly leveraged transaction, reorganization, restructuring, merger or similar transaction involving us that may adversely affect the holders. Events of Default, Notice and Waiver
The indenture provides that if an event of default shall have occurred and be continuing with respect to any series of debt securities, then either the trustee or the holders of not less than 25% in outstanding principal amount of the debt securities of that series may declare to be due and payable immediately the outstanding principal amount of the debt securities of the affected series, together with interest, if any, accrued thereon; provided, however, that if the event of default is any of certain events of bankruptcy, insolvency or reorganization, all the debt securities, together with interest, if any, accrued thereon, will become immediately due and payable without further action or notice on the part of the trustee or the holders.
Under the indenture, an event of default with respect to the debt securities of any series is any one of the following events:

(2) | default in payment when due of principal of or of premium, if any, on the debt securities of such series; |
(3) | default in the observance or performance of any other covenant or agreement contained in the indenture which default continues for a period of 90 days after we receive written notice specifying the default (and demanding that such default be remedied) from the trustee or the holders of at least 25% of the principal amount of securities of that series then outstanding (with a copy to the trustee if given by holders) (except in the case of a default with respect to certain consolidations, mergers, or sales of assets as set forth in Section 10.01 of the indenture, which will constitute an event of default with such notice requirement but without such passage of time requirement), provided, however, that the sole remedy of holders of the securities for an event of default relating to the failure to file any documents or reports that Honeywell is required to file with the SEC pursuant to Section 13 or 15(d) of the Securities Exchange Act of 1934, as amended, and for any failure to comply with the requirements of Section 314(a)(1) of the Trust Indenture Act of 1939, as amended, which we refer to as the Trust Indenture Act, to provide such documents or reports, within 30 days after filing with the SEC, to the trustee pursuant to Section 14.04 of the indenture, will for the first 60 days after the occurrence of such an event of default, or such shorter period until such event of default has been cured or waived, consist exclusively of the right to receive additional interest on the securities at an annual rate equal to 0.25% |

of the outstanding principal amount of the securities, and that, on the 61st day after such event of default (if such event of default is not cured or waived prior to such 61st day), the securities will be subject to acceleration as provided in the indenture; |
(4) | certain events of bankruptcy, insolvency and reorganization; and |
(5) | any other event of default provided with respect to debt securities of that series. |
The indenture provides that the trustee will, within 90 days after the occurrence of a default with respect to the debt securities of any series, give to the holders of debt securities of such series notice of such default known to it, unless cured or waived; provided that except in the case of default in the payment of principal, or interest or premium, if any, on any debt security of such series or in the payment of any sinking fund installment with respect to debt securities of such series, the trustee will be protected in withholding such notice if and so long as the board of directors, the executive committee or a trust committee of directors and/or specified officers of the trustee in good faith determine that the withholding of such notice is in the interests of the holders of debt securities of such series. The term “default” for the purpose of this provision means any event that is, or after notice or lapse of time, or both, would become, an event of default.
The indenture contains a provision entitling the trustee, subject to the duty of the trustee during the continuance of an event of default to act with the required standard of care, to be indemnified by the holders before proceeding to exercise any right or power under the indenture at the request of such holders. The indenture provides that the holders of a majority in outstanding principal amount of the debt securities of any series may, subject to certain exceptions, on behalf of the holders of debt securities of such series direct the time, method and place of conducting proceedings for remedies available to the trustee, or exercising any trust or power conferred on the trustee.
The indenture includes a covenant that we will file annually with the trustee a certificate of no default, or specifying any default that exists.
In certain cases, the holders of a majority in outstanding principal amount of the debt securities of any series may on behalf of the holders of debt securities of such series rescind a declaration of acceleration or waive any past default or event of default with respect to the debt securities of that series except a default not theretofore cured in payment of the principal of, or interest or premium, if any, on any debt security of such series or in respect of a provision which under the indenture cannot be modified or amended without the consent of the holder of each such debt security.
No holder of a debt security of any series will have any right to institute any proceeding with respect to the indenture or the debt securities of any series or for any remedy thereunder unless:
