This prospectus supplement relates to the potential resale from time to time of some or all of the 31,500,000 shares of our common stock, par value $0.01 per share, that may be issuable upon exercise of the warrant held by YA II PN, Ltd., a Cayman Islands exempt limited company (“Yorkville”), which is the selling stockholder identified in this prospectus supplement. The warrant was issued by us to Yorkville pursuant to that certain Secured Debenture Purchase Agreement, dated as of April 28, 2025 (the “Debenture Purchase Agreement”), between Plug Power Inc. (the “Company”), and Yorkville.

The registration of the offer and sale of the shares of common stock covered by this prospectus supplement does not necessarily mean that the selling stockholder will offer or sell all or any of the shares. The shares of common stock offered hereby by the selling stockholder, or its pledgees, donees, transferees or other successors in interest, may be sold from time to time directly or indirectly through one or more underwriters, broker-dealers or agents, and in one or more public or private transactions. In the event that at the time of exercise of the warrant, there is no effective registration statement, or the prospectus contained therein is not available for the issuance or resale of the shares of common stock, the warrant provides that the selling stockholder may exercise the warrant on a “cashless basis” which, if elected by the selling stockholder, will reduce the number of shares of common stock issued upon exercise of the warrant in lieu of cash payment. Overview

We are building an end-to-end clean hydrogen ecosystem, from production, storage, and delivery to energy generation, to help our customers meet their business goals and decarbonize the economy. In creating the first commercially viable market for hydrogen fuel cells, we have deployed more than 72,000 fuel cell systems for forklifts and more than 275 fueling stations. We intend to deliver our hydrogen solutions directly to our customers, and through joint venture partners into multiple environments, including material handling, supply chain and logistics, e-mobility, stationary power generation and industrial applications.

We are focused on delivering a number of hydrogen solutions to our customers. Our vertically integrated end-to-end hydrogen solutions, which are designed to fit individual customer needs, include hydrogen production equipment or the delivery of hydrogen fuel, including:

Fuel cells: Fuel cells are electrochemical devices that combine hydrogen and oxygen to produce electricity and heat without combustion. We offer stationary and mobility fuel cell products to our customers in addition to serving the material handling industry. Our fuel cells power material handling vehicles (forklifts), replacing lead-acid batteries. We support customers at multi-shift high volume manufacturing and high throughput distribution sites where our fuel cell products provide a unique combination of productivity, flexibility, and environmental benefits.

Proton exchange membrane (“PEM”) electrolyzers: Our electrolyzers use clean electricity to split water into hydrogen and oxygen. Using electrolyzers, customers can generate hydrogen for a variety of applications. PEM technology delivers high power density, carries low weight and volume and operates at relatively low temperatures which allows it to start quickly and cause less wear and tear on the system. In support of the market growth and our own ambitions, we have built a state-of-the-art gigafactory to produce electrolyzer stacks in Rochester, New York.

Hydrogen liquefiers: We have a core competency in liquefaction systems known for their operational efficiency, flexibility and reliability. Our hydrogen liquefaction system has one of the most energy-efficient designs on the market utilizing hydrogen as the refrigerant in the main liquefaction cycle.

Liquid hydrogen cryogenic solutions: We have expertise designing and manufacturing cryogenic solutions, including liquid storage tanks, delivery trailers, vaporizers, portable equipment, and integrated control systems. Our hydrogen tanker is one of the largest and lightest trailers currently manufactured, with significant over-the-road payloads.

Hydrogen production: In addition to our pre-existing hydrogen production plant in Tennessee, we began producing liquid hydrogen at our hydrogen facility in Kingsland, Georgia in January 2024. Also, our hydrogen production plant in St. Gabriel, Louisiana began operations in the second quarter of 2025, and we continue to progress additional new hydrogen production plants throughout the United States, including in New York and Texas.

This prospectus supplement relates to the potential resale from time to time of some or all of the 31,500,000 shares of our common stock that may be issuable upon exercise of the warrant held by Yorkville, which is the selling stockholder identified in this prospectus supplement, including its pledgees, donees, transferees, or other successors in interest. The warrant was issued by us to the selling stockholder pursuant to the Debenture Purchase Agreement and is exercisable by Yorkville at an exercise price of $1.37 per share. The warrant will expire on July 10, 2028.

The selling stockholder will receive all of the proceeds from any sale of such shares. We will not receive any proceeds from any sales of shares of our common stock by the selling stockholder.

The warrant has an exercise price of $1.37 per share, and if the warrant is exercised on a cash basis for all 31,500,000 shares of our common stock. we will receive proceeds of approximately $43.2 million. We expect to use any such proceeds primarily to for working capital and general corporate purposes. In the event that at the time of exercise of the warrant, there is no effective registration statement, or the prospectus contained therein is not available for the issuance or resale of the shares of common stock, the warrant provides that the selling stockholder may exercise the warrant on a “cashless basis” which, if elected by the selling stockholder, will reduce the number of shares of common stock issued upon exercise of the warrant in lieu of cash payment.

We have agreed to bear the expenses in connection with the registration of the shares of common stock to be offered by this prospectus supplement by the selling stockholder other than any underwriting discounts and commissions relating to the sale of common stock, which will be borne by the selling stockholder.

The holders of common stock possess exclusive voting rights in us, except to the extent our board of directors specifies voting power with respect to any other class of securities issued in the future. Delaware Anti-Takeover Law and Provisions of our Certificate of Incorporation and Bylaws

Delaware Anti-Takeover Law. We are subject to Section 203 of the DGCL. Section 203 generally prohibits a public Delaware corporation from engaging in a “business combination” with an “interested stockholder” for a period of three years after the date of the transaction in which the person became an interested stockholder, unless:

prior to the date of the transaction, the board of directors of the corporation approved either the business combination or the transaction which resulted in the stockholder becoming an interested stockholder;

Section 203 defines a business combination to include:

hold monies for payment in trust;

Mergers and Similar Transactions Permitted; No Restrictive Covenants or Events of Default

This prospectus supplement relates to the potential resale from time to time of some or all of the 31,500,000 shares of our common stock that may be issuable upon exercise of the warrant held by Yorkville, which is the selling stockholder identified in this prospectus supplement, including its pledgees, donees, transferees, or other successors in interest. The warrant was issued by us to the selling stockholder pursuant to the Debenture Purchase Agreement and is exercisable by Yorkville at an exercise price of $1.37 per share. The warrant will expire on July 10, 2028.
