    Other Events.
     
    As previously disclosed in its Current Report on Form 8-K filed on January 16, 2024, Synopsys, Inc., a Delaware corporation (“Synopsys”), and ALTA Acquisition Corp., a Delaware corporation and wholly owned subsidiary of Synopsys (“Merger Sub”), entered into an Agreement and Plan of Merger (the “Merger Agreement”) with ANSYS, Inc., a Delaware corporation (“Ansys”), on January 15, 2024. Pursuant to the Merger Agreement, and subject to the satisfaction or waiver of the conditions specified therein, Merger Sub will merge with and into Ansys (the “Merger”), with Ansys surviving the Merger as a wholly owned subsidiary of Synopsys.
     
    Included in this Current Report on Form 8-K are:

    the audited consolidated balance sheets of Ansys as of December 31, 2024 and 2023, the related consolidated statements of income, comprehensive income, equity and cash flows for each of the three years in the period ended December 31, 2024, the related notes, and the related report of Deloitte & Touche LLP, Ansys’ independent registered public accounting firm, which are included as Exhibit 99.1; and
