    Hi everyone. I’m excited to speak with you about our agreement to combine DNOW and MRC Global. This exciting next step in our 160-year journey is testament to our shared success as an organization.

    Many of you likely know MRC Global. Our companies have a tremendous amount of respect for one another and we both strongly believe in fostering a culture of service and engagement among employees, delivering for our customers and striving for excellence every day.

    Importantly both organizations are similarly grounded in a commitment to delight the customer through innovation and operational excellence.

    DNOW and MRC Global’s businesses are highly complementary, and we are confident that together we will be even stronger and more resilient.

    As a combined company we will have an expanded set of products and solutions to sustain and expand customer value and further strengthen customer relationships. With the benefit of a larger organization and customer base across the globe, DNOW is anticipated to have enhanced resilience to perform through business cyclicality.

    As you know, our suppliers are critical to success to our success and our ability to serve our customers. The increased scale and scope of our offerings will help establish new supplier relationships and enhance existing ones, while also attracting new customers and presenting cross-selling opportunities to current customers.

    In turn, we expect this will create new opportunities for our employees. During the past several years at DNOW, we have made significant progress transforming our operations. Thanks to the incredible work of our team, those efforts have put us in a position to execute on this transformational combination with MRC Global.

    Moving forward, it will be critical that we maintain that winning mindset and build upon our proud culture centered around our employees.
