    Hi everyone. We’ve announced an exciting new chapter: an agreement to combine MRC Global and DNOW to create a premier energy and industrial solutions provider.

    Like DNOW, MRC Global is a customer-centric business with global reach, focused on delivering the products and services that add the most value. Joining forces with MRC Global comes with tremendous opportunity.

    With this combination, we are building on the significant progress DNOW and MRC Global have each made to this point.

    Our businesses are highly complementary, and together, we anticipate an even stronger organization with enhanced resilience to perform through business cyclicality.

    Further, we will be well-positioned to sustain and expand customer value and further strengthen customer relationships.

    Importantly, our organizations share a common set of values and are grounded in a commitment to delight the customer, through innovation and operational excellence.

    We have deep respect for one another, and we aim to build upon our proud culture centered around our employees and customers. That mindset is what will help propel us forward.

    Critical to our success will be the combination of MRC Global’s leading sector expertise in gas utilities and downstream, with DNOW’s industry-specific strengths and highly complementary products in upstream and midstream.

    The result is an expanded scope of solutions expected to increase our exposure to adjacent markets and allow us to pursue attractive growth opportunities around the world.

    This combination is expected to bring strong cash flow generation and a robust balance sheet. It is also expected to be significantly accretive to our adjusted earnings per share in the first year following close.

    The combined company will maintain the solid foundation necessary to continue executing on our capital allocation strategy.
