    COMMUNICATIONS GUIDELINES

As you familiarize yourself with these materials, please keep in mind:

    • Be responsive and supportive. It is natural for employees to have questions and share concerns about this announcement, and they will be looking for reassurance and empathy during the initial weeks following the announcement. In the days ahead, please make yourself available to discuss and answer any questions to the extent you are able.

    • Remain optimistic, confident and forward looking. Remember that the way you speak about this transaction will impact how others respond. This is good news for Essential, and it is important that you stay positive and forward-looking. Please encourage others to do the same.

    • Encourage “business as usual.” Our priorities remain the same. Our announcement is just the first step toward bringing the companies together. The transaction is expected to close by the end of the first quarter of 2027, subject to customary closing conditions and approvals. Until then, Essential and American Water remain two separate and independent companies and will operate as usual. Roles and responsibilities will remain the same. Encourage employees to stay focused on what we do best – delivering safe, reliable and affordable utility services.

    • Raise questions, comments or concerns that you hear from employees. Bringing feedback forward helps in two ways. First, we can help you to navigate the feedback. Second, this is likely feedback others are receiving. We will continue to meet and communicate with each other frequently, and we can share what we’re hearing and problem solve as a team.

    • Take time to allow yourself to process. It is important for you to take a moment for yourself and have time to process your feelings and emotions. You may have some of the same questions as other employees.

    • Don’t be afraid to say, “I don’t know, but I will find out”. We will not have all the answers on day one, and while that can create uncertainty, we don’t want you to commit or make promises to employees. Bring those questions back to a senior member of your HR team. We will work with you on specific matters and to obtain more information where possible.

We recognize the level of trust they place in us and we’re proud to serve their needs. Our vendors have played an important part in our ability to serve our customers, and with the combination we expect to enhance many of these partnerships.

Today’s announcement is just the first step toward bringing our companies together. The combination is expected to be completed by the end of the first quarter of 2027, subject to customary closing conditions and approvals.

Until the closing, American Water and Essential will remain separate, independent companies, and it is business as usual. There are no changes to how we work with you. Your company contacts remain the same and all current arrangements continue as normal.

We value our relationship and thank you for your continued support.

    Sincerely,
