FL - DKS Transaction Partner Letter
SUBJECT: Foot Locker’s Next Chapter
Dear Valued Partner / [INSERT CUSTOMARY GREETING],
I am reaching out with the exciting news that Foot Locker, Inc. has agreed to be acquired by DICK’S Sporting Goods. This transaction marks an important milestone and new chapter for our Company and all Foot Locker stakeholders. You can read more about it in our press release here.
You are likely already familiar with DICK’S as a leading omnichannel retailer among athletes and outdoor enthusiasts. The business was founded in 1948 and today has more than 850 stores serving millions of customers across the U.S. Like Foot Locker, DICK’S has been successful in building a strong omnichannel athlete experience, differentiated product assortment and deep engagement with its customers.
We are confident that by joining forces with DICK’S, Foot Locker will be better positioned to serve the evolving needs of a broader range of consumers around the world while creating a stronger global platform for our partners. We are excited for this next chapter and the opportunity to continue expanding sneaker culture, elevating the omnichannel experience for our customers and brand partners, and enhancing our position in the industry.
In terms of next steps, we expect the transaction to close in the second half of 2025, subject to customary closing conditions, including regulatory approvals and approval by Foot Locker’s shareholders. Upon closing, we expect DICK’S to operate Foot Locker as a standalone business unit within its portfolio and maintain our brands. Until then, Foot Locker and DICK’S remain separate and independent companies, and it is business as usual. There will be no changes to our existing contract or orders and we will continue to work with you as we always have.
You play a key role in helping us provide exceptional products and service to our customers, and your continued support will promote our mutual success. We are committed to keeping you informed as we work toward the closing. In the meantime, please do not hesitate to reach out to your normal Foot Locker contact with any questions.
On behalf of the entire Foot Locker team, thank you for your continued support and partnership. We hope you share our excitement about our future with DICK’S and the new opportunities ahead.
Sincerely,
NAME
