Amended and Restated Merger Agreement
As previously disclosed, on February 13, 2025, Jet.AI Inc. (the “Company”), entered into an Agreement and Plan of Merger and Reorganization (the “Original Merger Agreement”) with flyExclusive, Inc. (“flyExclusive”), FlyX Merger Sub, Inc., a Delaware corporation and wholly owned subsidiary of flyExclusive (“Merger Sub”), and Jet.AI SpinCo, Inc., a Delaware corporation and wholly owned subsidiary of the Company (“SpinCo”), pursuant to which (i) as a condition to closing, the Company will distribute all of the shares of SpinCo, on a pro rata basis, to the Company’s stockholders (the “Distribution”) and (ii) Merger Sub will merge with and into SpinCo (the “Merger” and, together with the Distribution and all other transactions contemplated under the agreement, the “Transactions”) with SpinCo surviving the Merger as a wholly owned subsidiary of flyExclusive.
On May 6, 2025, the parties entered into an Amended and Restated Agreement and Plan of Merger and Reorganization (the “Merger Agreement”). The Merger Agreement amends, restates, replaces and supersedes the Original Merger Agreement in its entirety. Except as noted below, the material terms of the Transactions remain unchanged in the Merger Agreement.
Merger Consideration
Pursuant to the terms of the Original Merger Agreement, twenty percent of the shares of flyExclusive’s Class A common stock that are to be issued as merger consideration would have been restricted until a final post-closing purchase price is determined. If the final purchase price was less than the initial purchase price, all or a portion of the restricted shares would be forfeited on a dollar for dollar basis, and if the final purchase price met or exceeded the initial purchase price, the full amount of restricted shares would remain a part of the total merger consideration and become unrestricted shares.
The Merger Agreement amended the merger consideration terms so that eighty percent of the merger consideration shares will be issued upon the closing, and twenty percent of the merger consideration shares will be held in reserve by flyExclusive until a final post-closing purchase price is determined. Once the final post-closing purchase price is determined, flyExclusive will only issue additional merger consideration shares from the reserve on a dollar for dollar basis up to the lesser of the final purchase price and the initial purchase price.
Financing Obligation
The Original Merger Agreement contained a condition to closing which would have required the Company to amend its existing securities purchase agreement with Ionic Ventures, LLC. The Merger Agreement amended the closing condition to instead require the Company to execute a new securities purchase agreement with a third-party investor, pursuant to which the Company will issue the investor a warrant to purchase up to $50 million worth of shares of a newly-designated series of preferred stock.
