Set forth below is an internal company communication sent to all employees of Einride AB on November 12, 2025, announcing the proposed business combination between Legato Merger Corp. III and Einride AB.
Einride to become a publicly listed company
Team,
Today marks a historic milestone for our company and for the future we are building.
We have taken the formal step towards becoming a publicly listed company in the United States by entering into a definitive business combination agreement with Legato Merger Corp. III (NYSEAMERICAN: LEGT) (“Legato”), a special purpose acquisition company, or “SPAC”.
Legato is a publicly traded SPAC led by a management team with extensive capital markets experience, having completed nine SPAC initial public offerings. We are pleased to partner with Legato and look forward to leveraging their expertise and support as we continue to advance Einride’s growth trajectory.
This represents a significant milestone for our company and reflects the progress we have achieved through the dedication and commitment of our entire team. This strategic move is expected to significantly strengthen Einride’s position as an innovation leader in the $4.6 trillion global road freight market. We believe it will enable us to accelerate the rollout of our electric and autonomous freight solutions, deepen investments in our proprietary Saga platform technology, and continue expanding our global customer base.
What you need to know at this point:
| ● | The current management team, day-to-day operations, headquarters, and strategic plans will remain unchanged. Einride will continue to operate with the same leadership and continue to execute on its plans |
| ● | The transaction is expected to close in the first half of 2026, subject to shareholder and regulatory approvals. |
| ● | This transaction is expected to provide us with greater resources to invest in innovation and expand our operations across North America, Europe, and the Middle East as our customer base and commercial offering continues to grow. |
We understand you will have questions, and we encourage you to review the internal FAQ document for comprehensive answers on the rationale, transaction details, timeline, and impact on operations. You will also receive an all-employee email from me later today, which will provide important information and more context about the transaction, so please keep an eye out for that.
Thank you for your hard work and continued dedication as we embark on this exciting new chapter!
