Item 8.01. Other Events.
The extraordinary general meeting of the shareholders of Nocturne Acquisition Corporation (“Nocturne” or the “Company”) to vote on the proposed business combination with Cognos Therapeutics, Inc. (“Cognos,” such merger, the “Merger,” and such meeting, the “Extraordinary General Meeting”) originally scheduled for Tuesday, January 30, 2024, has been postponed further to April 2, 2024 at 9:00 a.m. Eastern Time (the “Postponed Meeting”). The Postponed Meeting will be held virtually. The Company plans to continue to solicit proxies from shareholders during the period prior to the Postponed Meeting.
