Item 8.01. Other Events.
On February 16, 2024, PHP Ventures Acquisition Corp., a Delaware corporation (the “Company”), issued a press release announcing that it caused to be deposited $34,645.56 into the Company’s trust account for its public stockholders (the “Trust Account”) on February 15, 2024, allowing the Company to extend the date by which the Company may consummate an initial business combination by one month (the “Extension”) from February 16, 2024 to March 16, 2024. This Extension is permitted under the Company’s governing documents.
A copy of the press release is attached as Exhibit 99.1, which is incorporated herein by reference.
