    On April 3, 2025, The AZEK Company Inc. (“AZEK”) supplemented with the below additions the set of Frequently Asked Questions that was made available to AZEK employees on March 23, 2025.

     

    1.

    What will happen to the Employee Stock Purchase Plan (ESPP)?

     

      •  

    There will be no future offering periods of the AZEK ESPP.

     

      •  

    All shares purchased through the ESPP will be exchanged for the same amount of cash and stock as all other AZEK shares.

     

    2.

    Can I trade in AZEK stock before closing?

     

      •  

    AZEK’s quarterly trading blackouts will in general proceed as normal, with the current blackout period in effect from March 21, 2025 until the third trading day following our next earnings release in May. If you have previously received emails notifying you of blackout periods beginning and ending, you remain subject to blackout periods going forward.

     

      •  

    You also remain subject to any special blackout periods that you have been informed apply to you by the Legal department. If there are any updates or changes to our blackout policy, further information will be provided.

     

      •  

    As a reminder, under insider trading laws and regulations and AZEK’s Insider Trading Policy, trading in AZEK stock when in possession of material non-public information (such as financial results before they are announced) is prohibited, regardless of whether you are subject to regular blackout periods.

     

    3.

    Can I trade in James Hardie shares before closing?

     

      •  

    Before the closing, AZEK employees should not trade in James Hardie shares (including puts or calls, hedges, pledges or short sales), regardless of whether you are in possession of material non-public information.

     

    4.

    I understand that shareholders of The AZEK Company will receive $26.45 in cash and 1.034 ordinary shares of James Hardie for each share of AZEK stock that they own. How was this determined? Is this a good deal if the James Hardie stock price fluctuates?

     

      •  

    The transaction was designed to give AZEK shareholders both immediate value and a chance to benefit from future growth.


      •  

    The $26.45 in cash is a strong upfront payment and was set at a level that keeps the combined company financially healthy. The 1.034 shares of James Hardie stock let AZEK shareholders own part of the new, combined company — so they can share in the upside value we believe will be created when the two businesses come together.

    Stock prices may go up and down in the short term, but this transaction is about long-term value. We believe that by combining our two companies, AZEK and James Hardie will be stronger together — and that this creates a great opportunity for shareholders moving forward.
